Special Board Meeting
January 9, 2010

MEETING:  Called to order at 11:05AM and held at the home of Chuck Lewis.

TREASURE’S REPORT AND MINUTES:  Were not read.

PRESENT:  Dennis Farmer, Bob Loomer, Debby Siebel, Dave Tesmer, Chuck Lewis, Marge Brown and Dave Cook via conference call.

PURPOSE:  To discuss a letter (w/attachments) of dissatisfaction authored by Sue Tesmer, ex-chairperson of the Fish Committee, and mailed to selected members of the RLPOA, Inc. (dated Jan. l, 2010).

Attachment #1 – was an e-mail (dated June 27, 2009) to all Board Members from a Board Member and was not for distribution to the membership.  This e-mail should not have been in Sue Tesmer’s possession or mailed to selected members of the association.  When asked, Dave Tesmer denied knowing how Sue obtained the e-mail and by the advice of his attorney would not answer the Boards questions regarding the e-mail.

Attachment #2 – was a letter to the Boards Members (dated Sept. 9, 2009) in which Sue Tesmer states she “will not be ordering or stocking walleye in the lake this year.  I made a promise to the membership.  They are whom I answer to and I don’t break my word”.  Committee’s answer to the Board – the Board answers to the membership.

The Letter – After a round table discussion the Board was in full agreement that Sue Tesmer was well within her rights to author the letter.  However, the Boards concern was that the letter contained many inaccuracies and implied that the Board did not take into consideration the results of a fish survey that the association members were asked to participate in.

A very lengthy discussion ensured in which each Board Member expressed their views and concerns.  After which Dave Tesmer acknowledged his fiduciary responsibility is to the Board of Directors of RLPOA, Inc.

The subject of fish and fish planting will be addressed in the News Letter 

Because of the purpose of this meeting Marge Brown motioned that the Board request any chairperson from any committee to attend Board Meetings to bring the Board up-to-date on the committees progress. If they or someone the chairperson designates cannot attend, a written up date and/or conference call will be used.  Dennis Farmer second the motion – motion carried. The Board of Directors urges association members to attend scheduled Board Meetings.

Marge Brown motioned that when association members are asked to participate in any survey on any subject the results be given to the Board Members.  Motion not seconded.

Dennis Farmer up-dated the Board on delinquent assessments.  As of this date his hard work/time is paying off.
Some of the delinquent assessments have been paid in-full while others remain delinquent.

Because Don Swain is willing to bring up-to-date assessments on a piece of property he has had to foreclose on ( not truly responsible for) Dave Cook motioned to reduce Don Swain’s assessment of 2010 on this one piece of property by $24.00 (which is reimbursement for penalties and misc. costs incurred by the previous owners).  Chuck Lewis seconded the motion.  Motion passed.

Dave Cook motioned to have the association reimburse Dennis Farmer $63.59 for his purchase of a digital recorder which is to be used by the Secretary for Board and General Membership Meetings.  Seconded by Dennis Farmer – motion carried.

Debbie Siebel gave each Board Member “vouchers” to be used when something is purchased for the association/by the association.

Dave Tesmer and Bob Loomer commented that only subjects at the SPECIAL BOARD MEETINGS should be discussed – this subject will be discussed at the next Board Meeting – which is March 20th, 2010 @ 10AM and to take place at Bob Loomer’s home.

Marge Brown motioned to adjourn the meeting and 1PM – seconded by Dennis Farmer – motion carried.
