Board Meeting
September 19, 2009


Meeting:  Called to order at 10:30AM and held at the home of Marge Brown.

Present:  Dennis Farmer, Dave Tesmer, Bob Loomer, Debby Siebel, Chuck Lewis, Marge Brown.   Dave Cook via conference call.  A quorum was present

Minutes:  Of July 4, 2009 Annual General Membership Meeting read by Marge Brown.  After brief discussion
regarding spelling errors Dennis Farmer motioned to accept the Minutes as read.  Seconded by Dave Tesmer – motion carried.

Minutes:  Of August 2, 2009 Special Board Meeting via conference line read by Marge Brown.  Chuck Lewis motioned to accept Minutes as read.  Seconded by Dennis Farmer – motion carried. 

Minutes:  Of June 13, 2009 Board Meeting read by Marge Brown.  After discussion regarding spelling and grammar errors Marge Brown motioned to accept the Minutes as read.  Seconded by Bob Loomer – motion carried. 

Treasurer’s Report:  Of July 1, 2008 thru June 30, 2009 was read by Dave Cook.

After a considerable amount of discussion regarding the reformatting of the Treasurer’s Report.  Motion made by Dave Tesmer to accept the Treasurer’s Report as read.  Seconded by Chuck Lewis – motion carried.

Old Business of June 13, 2009 Board Meeting

Large Mailing:  Second mailing date of August was changed to September giving additional time to put this mailing together

No further discussion needed on topics discussed at the June 13, 2009 Board Meeting.

Old Business of July 4, 2009 Annual General Membership Meeting

No further discussion needed on topics discussed at the July 4, 2009 Annual General Membership Meeting.

New Business

Fish Study: No results of study as of September 19, 2009.

Road Treatment:  Because of all the rain a second road treatment was not necessary.

Motions:  Dennis Farmer motioned that at all future meetings, those opposed to a motion be named and published in all the minutes.  Dave Tesmer seconded the motion – motion carried. 

Roads & Park:  After a lengthy discussion regarding the Boards main responsibility to  maintain our private roads and park year round it was agreed that should our budget fall short of monies all expenditures will cease and those funds will be applied to the roads and park. 

Delinquent Assessments:  Property owners that become delinquent in paying their assessments will have a lien applied to their property. (see Preamble to the Second Amended Covenants and Restrictions dated 1992).  Assessments are due at the end of March of each year and if not paid by May 15th of that year a letter will be mailed notifying the property owner that a lien will be applied on June 15th to their property due to the delinquency of their assessment(s).

DNR:  Per the DNR’s letter of April 27, 2009 which stated that they would respond by the end of this summer.   No response as of 9/19/09.

Fish:  Per Dave Tesmer walleye are not available until Oct 1st and the hatcheries cannot quote a price until that time.

Rental:    It has been brought to the Boards attention that an Association Member is in violation of the Rainy Lake Property Owners Association, Inc. Covenants and Restrictions by renting his property.  The Board did instruct our lawyer to draft a letter notifying the property owner of the violation.  After reviewing the draft    Dave Cook motioned to instruct the attorney to mail the letter. Bob Loomer seconded the motion – motion carried.

Covenants and Restrictions:  Our attorney has questioned the Covenants and Restrictions because of the inconsistencies and the need for revision.   He was told that it has been brought before the association members in the past and they felt the Covenants and Restrictions were “OK”.

Discussion followed with the Board recognizing the time, effort and monies it will take to update the current Covenants and Restrictions.  Therefore, a Special Board Meeting will be called to discuss this topic in more detail.

Dave Tesmer presented the Board with a letter from Sue Tesmer, Chairperson of the Fish Committee (attached).  The letter was read by Marge Brown.  Sue Tesmer feels that “what she knows and what she has learned from biologists and hatcheries she will not be ordering or stocking walleye in the lake this year”. 

After a lengthy discussion and that in fact, a survey was conducted by the Fish Committee and the number one choice of association members that participated was walleye. Dave Cook motioned to disband the current Fish Committee as it stands and reform it with people that will follow the direction of the Board.  Chuck Lewis seconded the motion.  Discussion followed.

Amended motion by Dave Cook – The Board will accept the letter from Sue Tesmer, Chairperson of the Fish Committee as a resignation letter and consequently she is no longer a member of the Fish Committee. Bob Loomer seconded the motion.  6 Board Members voted yes and one Board Member, Dave Tesmer voted no.

Thank you very much Sue for all your dedication and hard work.

Marge Brown will call the remaining members of the Fish Committee to see if they will/can step up and call the hatcheries and order the walleye.

Results of the above telephone conversations:  Randy Springs felt living out of state was a disadvantage but would help any way possible.  Addy Gallatin resigned from the committee.  Alan Hickman volunteered to order the fish and set up the stocking. Debby Siebel will contact Alan with the necessary information.

Modified Assessment Payments:  In light of our economic times a letter will be authored by Dennis Farmer and Debby Siebel informing the membership of a modified assessment payment plan.

Bob Loomer motioned to adjourn at 1:25PM.  Dennis Farmer seconded the motion – motion carried.
