Scheduled Board Meeting
March 20, 2010

MEETING:  Called to order at 10:05AM and held at the home of Bob Loomer.

PRESENT:  Chuck Lewis, Dave Tesmer, Debby Siebel, Bob Loomer, Marge Brown, Dennis Farmer & Dave Cook via conference call.  A quorum was present.  Also in attendance were Association Members John Desmadryle and Jim Hayes

MINUTES:  Of Nov. 21, 2009 were read by Marge Brown.  Dennis Farmer motioned to accept the Minutes as read, Chuck Lewis seconded the motion – motion carried.

MINUTES:  Of Jan. 9, 2010 were read by Debby Siebel.  Dennis Farmer motioned to accept the Minutes as read, Bob Loomer seconded the motion – motion carried.

TREASURER’S REPORT:   Dated March 20, 2010 - for Oct. 30, 2009 thru Feb. 26, 2010, were read by Debby Siebel.                                 Checking                          Savings                       Totals

After a small discussion Marge Brown motioned to accept the Treasurer’s Report as read, Chuck Lewis seconded the motion – motion carried.

OLD BUSINESS:  Many subjects from the above Minutes were discussed briefly with no further discussion needed.
NEW BUSINESS:

Delinquent Assessments:  The letter authored by Dennis Farmer and mailed to members that were delinquent proved to be very successful – Thank you Dennis.  Many members with delinquent assessments have paid in full while others have made arrangements for payment through Debby Siebel, Treasurer. As of this date there are only four (4) outstanding delinquent assessments.

Fish Committee/Fish Stocking:  Dave Cook, President will address this subject in a “special mailing” that will be mailed to all members in the next few weeks.

Fish Survey:  It was determined that Bob Loomer and Alan Hickman should get a firmer cost for the survey.  Bob pointed out that a survey will be conducted by Pine Island Services, Inc. (same company that did the Rainy Lake study) at Canada Creek early this spring.  Since said company will be in the area the Board thought there could be a cost savings.  The survey may take the better part of a week. An informal vote was taken.  Marge Brown, Debby Siebel and Dave Tesmer were against a lake survey.  Bob Loomer voted yes.  Dennis Farmer and Dave Cook thought it should be brought before the membership at the Annual General Membership Meeting in July 2010.  Chuck Lewis felt that a survey was needed but, with the cost felt the General Membership should have input first.  

Roads and Park: A very lengthy discussion took place with the biggest issue being MONEY.  Dave Tesmer

motioned to take the money ear-marked for spraying gypsy moths ($5000) that had been budgeted for the 2009/2010 budget and use the money for road maintenance adding to the $3,000 already budgeted for gravel. – Dave Cook seconded the motion – motion carried. 

Debby Siebel will contact Chaskey’s Septic Service to make sure that the outdoor facility at the park is in good shape and ready for use.      

Chuck Lewis presented to the board a contract for cutting grass, etc. for 2010.  The contract from Van Houten’s Craft Lawn Care and Snowplowing is the same as 2009’s.  Chuck Lewis motioned to accept the contract as written.  Jim Hayes asked to have the grass on the south side of North Shore Drive at Rainy Lake Road added to the contract.  It seems the grass/weeds grow so high it can obstruct a driver’s view and could become a danger. Chuck Lewis will get additional cost if any for this request.  Dave Tesmer seconded the motion – motion carried.

Chuck Lewis also discussed with the Board the necessary repairs and maintenance of fencing, etc. in the subdivision that will be needed this year. Dave Cook motioned to allow $150.00 for the repairs and maintenance, etc.  After a brief discussion the motion was amended and increased to $200.00 by Dave Tesmer.  Dennis Farmer seconded the motion – motion carried.

A “round table” discussion ensued with each Board member asking questions and/or making comments regarding the up coming year.

By-Laws:  Marge Brown questioned Article III Sec. 3 and Article IV Sec. 5.  With “round table” discussion
her questions were answered and clarified.  Also, Article I Sec. 4 should read “Special Meetings of the General Membership and Notices”.  Changes will be made.

Proxies:  Proxies given from one member to another member can be used for any motion placed before the General Membership at the Annual General Membership Meeting.  The member that received the proxy can vote his/her conscious on any issue. “Said proxies shall be delivered to the Secretary not less than 5 days prior to such meeting” (By-Laws – Article III Sec. 1).  Proxies given to the President or Treasurer (as stated on the proxy sheet which all R.L.P.O.A., Inc members receive along with their assessment notices) are first applied in making sure there is a quorum present for any voting.  And secondly, the President or Treasurer can use the assigned proxies to vote on any issue of their personal choice.

Treasurer’s Compensation:  Discussion revolved around the fact that the Treasurer was not receiving the $1,200.00 ($100/month) that the Board had voted on to compensate for the duties that are preformed by the Treasurer. Dave Tesmer motioned to have the Treasurer receive the $1200/yr and the association absorb any (payroll) deductions.  Chuck Lewis amended the motion to read – the Treasurer’s salary will be grossed out and the association would absorb any withholding. Dave Cook seconded the motion – motion carried.

A Letter (attached) from Roxanne Merrick of Land and Water Management Division of the Michigan Department of Natural Resources and Environment (DNRE) addressed to Dave Cook, President w/copies going to all Board Members of RLPOA, Inc. and Jim Zakshesky, Presque Isle County SESC Officer – Case Township was received the week of March 15, 2010.

The letter is asking for information regarding the excavating performed at Rainy Lake in the early part of 2009. Dave Cook will call Roxanne Merrick Monday – March 22, 2010 and report back to the Board of the out come.

Also on the same subject (DRNE) Dave Tesmer having had contact with Mr. Reise from DRNE, would set up an appointment with Chuck Lewis, himself and Mr. Reise to discuss the dam and MOU.

Marge Brown requested that any and all correspondence signed and dated by any Board Member be given to the Secretary for RLPOA, Inc. files.

Adjournment was at 1:35PM – no motion made and no second taken.

Dennis Farmer motioned to mail assessments NOW.  (See e-mail dated 2/17/10) Members are given at least
a 30 day notice and that time is rapidly approaching. Mail assessments only.  The proxy form, fish letter, and Newsletter to be mailed later. Chuck Lewis amended the motion to include proxies, Newsletter and a response to Sue Tesmer’s “fish letter”. Marge Brown seconded the motion. - motion carried.

Dave Cook motioned to authorize up to $100 to pay for any necessary permits for the excavating of the channel leading to the boat ramp.  Marge Brown seconded the motion – motion carried
