EVANS LAKE LAND OWNERS ASSOCIATION
BY-LAWS (08-29-04)
ARTICLE I
SECTION 1: Name and Purpose.
The association will be knows as the
Evans Lake Landowners Association Inc., a legally formed non-profit
organization. Our purpose is to preserve the
member's property value and to protect the means by which Evans Lake is
enjoyed.
ARTICLE II
SECTION 1: Membership.
Every person or entity which holds an
equitable interest in any lot, or
access lot, on Evans Lake is entitled to be a member of this
association.
SECTION 2: Dues.
Association dues are currently $30.00,
which includes an optional subscription to the "Michigan Riparian"
magazine. (NOTE: The President, Vice-President, Secretary and the
Treasurer are exempt from paying dues.) Dues become payable at
the Spring Meeting and are good for one year. In order to change
the annual dues, a motion and a second must be made, and voted on, by a
majority of it's members, in order to pass the motion.
SECTION 3: Voting rights.
Members owning equity shall be entitled
to vote. Each family with a membership shall have two votes.
ARTICLE III
SECTION 1: Fiscal year.
The fiscal year shall run from June to
June with the election of board member at each Spring meeting.
ARTICLE IV
SECTION 1: Special funds.
There shall be four special
funds. All moneys of fundraisers and donations shall be given to
and held by the Treasurer. Committees (if established) for these
special funds may be established and shall consist of volunteers
approved by the president. The purpose of the committee is to
prepare and report recommendations to the board for approval by the
membership. Each committee shall contain at least one trustee,
but not more than three, and may also contain up to one officer.
Each committee shall select it's chairman. Committee members must
be association member in good standing (dues paid to date).

Legal Fund.
To be obtained from
donations, fund raising and from the general fund (if as needed).
#2. Fish Fund.
To be obtained from the
50/50 Drawing, fund raising, individual contributions and a designated
amount by each member from their dues.
#3. Neighborhood Watch Reward Fund.
There shall be $100 in the
Neighborhood Watch fund to be replaced from the general fund as it is
used. The board shall have the authority to make expenditures
for
the placement and maintenance of the signs from the general fund if/as
needed.
#4. Conservation and Preservation Fund.
To be obtained from fund
raisers and donations. Projects within the current balance of
this fund shall be approved by the board. Projects
exceeding the current
balance shall be presented for approval by the membership.
ARTICLE
V
SECTION 1: Format.
All meetings will be conducted in
accordance with the Roberts Rules of Order
(A copy will be held for reference).
SECTION 2: Regular membership
meetings.
The regular meetings shall be held the
week before Memorial Day and the week before Labor Day. Posted
notices shall be in two prominent locations (on East and West
sides). Notice of such meetings shall be posted at least ten days
in advance of the date of the meeting.
SECTION 3: Special meetings.
Special meetings of the association
(and of the board) may be called by the President, the Secretary or
three Trustees. All members/board members shall be notified by
mail at their last known address, at least seven days prior to such
meeting and notices of such meetings shall be posted. (Note;
Article V, Section 2).
SECTION 4: Meetings of the board
members.
There shall be at least two meetings of
the board annually, held no earlier than ten days prior to a membership
meeting. All board members shall be notified by mail at their
last known address at least seven days in advance of the meeting.
SECTION 5: Quorum.
At any meeting of the board, duly
called, two thirds of the board shall constitute an quorum. In
the event of a quorum as herein set forth shall be present, a majority
shall decide upon any given issue, unless the By-Laws provide contrary.
SECTION 6: Newsletter.
There will be at least two informal
newsletters posted in the mail containing items on the agenda for the
membership meetings and a current list of the board members.
SECTION 7: Items for the agenda.
Items to be added to the agenda for the
association membership meeting must be submitted to the board (via the
President), in writing, at least three weeks prior to the membership
meeting.
ARTICLE
VI
SECTION 1: Election of Officers
and Trustees.
Elected board members (Trustees and
Officers) will take over responsibilities of that office at the end of
the Spring meeting, for a term of three years.
SECTION 2: Eligibility.
Only a member (and/or adult children)
in good standing (dues paid to date), who own property accessed to
Evans Lake, are eligible to hold office.
SECTION 3: Term limits.
There will be no limit of the terms of
offices.
SECTION 4: Terms
The terms of office for the President,
Vice-President, Secretary, Treasurer and nine Trustee shall be
staggered so that only one third of the board will be up for election
at any given time.
SECTION 5: The office of
President.
The president, on completion of his/her
term of office, will automatically become a trustee. (This is not
mandatory, however it should be a given, when accepting this position.)
ARTICLE
VII
SECTION 1: Offices
There shall be a President,
Vice-President, Secretary, Treasurer, and nine Trustees.
SECTION 2: Duties
President:
He/She shall preside at all meetings. He/She shall appoint
a nominating committee of at least three people and all other
committees the board deems necessary. He/She shall perform all
other duties set forth in Roberts
Rules of Order.
Vice-President:
He/She shall preside in the absence of the President and carry on all
duties of the President in their absence.
Secretary: He/She shall
keep all minutes of all meetings, notify board members of meetings and
post notices of all special meetings. He/She shall keep the
records of all other matters pertaining to the E.L.L.O.A. (Evans Lake
Land Owners Association).
Treasurer: He/She shall
receive and deposit all moneys of the association in the bank account
under the name of Evans Lake Land Owners Association. He/She
shall keep records of; all finances, financial transactions, special
funds (Article IV; Section 1) and their transactions, paid members of
the association. He/She shall submit a financial report to the
membership, annually, at the Spring Meeting and keep track of all
subscriptions to the Michigan
Riparian magazine.
Trustees: They shall
assist in whatever capacity deemed necessary for the proper running of
the association. There shall be three to take membership dues at
the regular meetings. There shall be one to manage the 50/50
raffle. It is the responsibility of the trustees to participate
in any standing committees and to help to recruit new members.
They will also be responsible for handing out special announcements
and/or leaflets.
ARTICLE
VIII
SECTION 1: Amendments.
These By-Laws may be amended, altered,
changed. added to or repealed by the affirmative vote of two thirds,
cast by eligible members, present at a regular or special meeting of
the Evans Lake Land Owners Association. Any By-Law change must be
proposed, in writing, to the By-Law committee thirty days in advance of
a membership meeting. The By-Law committee shall prepare and
present such proposal to the membership.
SECTION 2: Assets.
All assets and real and personal
property held in the name of Evans Lake Land Owners Association Inc.
will revert to the Sand Lake Volunteer Fire Department upon the
dissolution of the organization.
